1. Introduction
Welcome to Venturow ("we," "our," "us"). These Terms and Conditions govern your use of venturow.com.au (the "Platform") and the services we provide. By accessing or using our Platform, you agree to be bound by these Terms.
2. Definitions
"User" refers to any person accessing or using the Platform
"Seller" refers to business owners listing their business for sale
"Buyer" refers to individuals or entities seeking to purchase a business
"Listing" refers to business advertisements posted on the Platform
"Services" includes marketplace services, advisory services, and consulting services
3. Eligibility
3.1. You must be at least 18 years old and legally capable of entering into binding contracts.
3.2. You represent that all information provided during registration is accurate and complete.
3.3. Business sellers must have legal authority to sell the business they list.
4. Account Registration
4.1. You must create an account to access certain Platform features.
4.2. You are responsible for maintaining the confidentiality of your account credentials.
4.3. You agree to notify us immediately of any unauthorized account access.
4.4. We reserve the right to suspend or terminate accounts that violate these Terms.

6. Listing Requirements
6.1. All listings must contain accurate, truthful, and complete information.
6.2. Sellers must disclose all material information about their business.
6.3. Listings must not contain:
False or misleading information
Illegal business opportunities
Fraudulent schemes
Copyrighted material without permission
6.4. We reserve the right to remove listings that violate these requirements.
7. Fees and Payment
7.1. Our pricing structure operates on flat fees with no commission on sales.
7.2. All fees are clearly displayed before service purchase.
7.3. Fees are non-refundable except as required by Australian Consumer Law.
7.4. We reserve the right to modify our fee structure with 30 days' notice.
7.5. Additional services may incur separate fees as agreed.
8. User Responsibilities
8.1 Sellers Must:
Provide accurate business information
Respond promptly to buyer inquiries
Conduct due diligence on potential buyers
Comply with all applicable laws regarding business sales
Maintain confidentiality of sensitive business information
8.2 Buyers Must:
Conduct independent due diligence
Verify all information independently
Act in good faith during negotiations
Comply with all financing and legal requirements
9. Transactions
9.1. Venturow facilitates connections between buyers and sellers but is not a party to any transaction.
9.2. All agreements and contracts are between the buyer and seller directly.
9.3. Users are responsible for:
Negotiating terms
Executing legal documentation
Completing financial transfers
Complying with regulatory requirements
9.4. We strongly recommend engaging legal and financial professionals.
10. Intellectual Property
10.1. All Platform content, including logos, designs, text, and software, is owned by Venturow or licensed to us.
10.2. Users grant us a non-exclusive license to use listing content for Platform operations and marketing.
10.3. You may not reproduce, distribute, or create derivative works without permission.
11. Privacy and Data Protection
11.1. Our Privacy Policy governs the collection and use of personal information.
11.2. We comply with the Privacy Act 1988 (Cth) and Australian Privacy Principles.
11.3. By using the Platform, you consent to data collection as described in our Privacy Policy.
12. Prohibited Activities
Users must not:
Engage in fraudulent activities
Manipulate valuations or listings
Harass other users
Circumvent Platform fees
Use automated systems to scrape data
Interfere with Platform operations
Violate any applicable laws
13. Disclaimers
13.1. No Guarantee of Sale: We do not guarantee that listings will result in successful sales.
13.2. Information Accuracy: We do not verify the accuracy of user-provided information.
13.3. Valuations: Business valuations are estimates only and should not be relied upon as definitive assessments.
13.4. Advisory Services: Our advice is general in nature and should not replace professional legal, financial, or tax advice.
13.5. Platform Availability: We do not guarantee uninterrupted or error-free Platform access.
14. Limitation of Liability
14.1. To the maximum extent permitted by law, Venturow is not liable for:
Direct, indirect, incidental, or consequential damages
Loss of profits, revenue, or data
Business interruption
User disputes or failed transactions
14.2. Our total liability is limited to the fees paid by you in the 12 months preceding the claim.
14.3. Nothing in these Terms excludes liability that cannot be excluded under Australian Consumer Law.
15. Indemnification
You agree to indemnify and hold Venturow harmless from claims, damages, and expenses arising from:
Your use of the Platform
Your breach of these Terms
Your violation of any laws
Information you provide
Disputes with other users
16. Dispute Resolution
16.1. Users agree to attempt good faith negotiation before legal action.
16.2. If negotiation fails, disputes will be resolved through mediation in accordance with the Australian Disputes Centre Guidelines.
16.3. These Terms are governed by the laws of New South Wales, Australia.
16.4. Exclusive jurisdiction lies with the courts of New South Wales.
17. Termination
17.1. You may terminate your account at any time by contacting us.
17.2. We may suspend or terminate accounts that:
Violate these Terms
Engage in fraudulent activity
Remain inactive for extended periods
17.3. Upon termination:
Access to the Platform ceases immediately
Outstanding obligations remain enforceable
Certain provisions survive termination
18. Modifications
18.1. We reserve the right to modify these Terms at any time.
18.2. Material changes will be notified via email or Platform notification.
18.3. Continued use after changes constitutes acceptance.
19. General Provisions
19.1. Entire Agreement: These Terms constitute the entire agreement between you and Venturow.
19.2. Severability: If any provision is invalid, the remaining provisions remain in effect.
19.3. Waiver: Failure to enforce any right does not constitute a waiver.
19.4. Assignment: You may not assign these Terms without our consent.
19.5. Force Majeure: We are not liable for delays due to circumstances beyond our control.
